Terms of Service
Last updated: October 4, 2026
1. Agreement
These Terms of Service (“Terms”) govern access to and use of the websites, APIs, sandboxes, the dashboard, documentation, and related software operated by Gutschow LLC (“Gutschow,” “we,” “us,” or “our”), a New Jersey limited liability company, including gutschow.xyz, api.gutschow.xyz, docs.gutschow.xyz, sandbox.gutschow.xyz, and dashboard.gutschow.xyz (collectively, the “Services”).
By requesting credentials, calling the API, signing in to the dashboard, or otherwise using the Services, the contracting business entity (“Customer,” “you”) agrees to these Terms on behalf of itself and its authorized users.
2. Eligibility
The Services are offered solely for business-to-business use by duly organized entities. Consumer or retail use is not supported. You represent that you:
- Have authority to bind your organization;
- Will use the Services only for lawful commercial purposes; and
- Will comply with applicable anti-money-laundering, sanctions, and digital-asset laws in your jurisdiction.
3. Nature of the Services
Gutschow provides programmable clearing rails, reserved-fund orchestration, compliance gates (including velocity controls, sanctions screening, and Travel Rule metadata validation), webhook-driven status pipelines, reconciliation utilities, and operator tooling.
Settlement of USDC, EURC, or other supported assets may involve third-party licensed partners (including custodians and stablecoin issuers). Those partners are responsible for regulated custody, transmission, and account activities under their own licenses. Your relationship with them may be governed by separate agreements.
4. Sandbox vs production
- Open simulation and sandbox environments are for integration testing. They may be rate-limited, reset, or changed without SLA.
- Production access requires completed onboarding and automated B2B KYB approval before live API keys are issued.
- Sandbox activity does not entitle you to production access or imply funded accounts.
5. Fees
Unless otherwise agreed in an Enterprise MSA or order form, Gutschow applies a clearing toll at ingress computed as platform_fee = max(round(gross × fee_rate, 4), 1.0000), with net_payout = gross − platform_fee. The default fee_rate is 0.50% (50 bps) of gross with a minimum fee of US$1.00 per release. Published volume tiers, Enterprise terms, and worked examples are described at Pricing. Tier placement is evaluated monthly on trailing settled volume and confirmed by Gutschow; until confirmed, the default rate applies. Tiers 0 through 3 are usage-only with no monthly platform fee. Pass-through partner fees, if any, are disclosed during onboarding. Fees are non-refundable except for documented system error attributable solely to Gutschow or where required by law.
6. Credentials and security
You are responsible for safeguarding API keys (gsk_sandbox_… / gsk_live_…), HMAC secrets, and operator identities. Compromised credentials must be rotated immediately and reported to info@gutschow.xyz. Gutschow maintains immutable audit trails of API and operator actions as a core part of the Services, for security, reconciliation, and regulatory cooperation; by using the Services you acknowledge this logging occurs.
7. Acceptable use
You agree not to:
- Use the Services for unlawful, fraudulent, or sanctions-prohibited activity;
- Bypass compliance holds, rate limits, sanctions screens, or Travel Rule gates;
- Probe, overload, or reverse engineer the Services except as permitted by law;
- Submit false, misleading, or incomplete transaction or KYB data;
- Use the Services for unlicensed money transmission or consumer cash-out; or
- Resell or sublicense the Services without our prior written consent.
8. Compliance and screening
Transactions may be screened for sanctions, velocity limits, Travel Rule requirements, and other compliance policies. We may delay, reject, hold, or reverse processing when required by law, partner rules, or risk controls. You are responsible for accurate beneficiary and originator information.
