Terms of Service

Platform status. Gutschow LLC provides software infrastructure for institutional clearing, settlement orchestration, and treasury automation. Gutschow is not a bank, licensed money transmitter, broker-dealer, investment adviser, or custodian. Fiat and digital-asset movement occurs through licensed partners under their own regulatory frameworks.

1. Agreement and parties

These Terms of Service (“Terms”) govern access to and use of the websites, APIs, dashboards, sandboxes, documentation, and related software services (collectively, the “Services”) operated by Gutschow LLC (“Gutschow,” “we,” “us,” or “our”), a New Jersey limited liability company. By creating credentials, calling the API, or otherwise using the Services, the contracting business entity (“Customer,” “you”) agrees to these Terms on behalf of itself and its authorized users.

2. Eligibility and authorized use

The Services are offered solely for business-to-business use by duly organized entities. Consumer retail accounts are not supported. Customer represents that it: (a) has authority to bind the entity; (b) will use the Services only for lawful commercial purposes; and (c) will ensure that end-beneficial owners, counterparties, and payment instructions satisfy applicable sanctions, AML/CFT, and Travel Rule obligations where Customer is the regulated party.

3. Nature of the Services

Gutschow provides programmable clearing rails, ledger orchestration, compliance gates (including velocity controls and Travel Rule metadata validation), dead-letter recovery tooling, and reconciliation utilities. Where Gutschow integrates licensed banking or stablecoin partners, those partners remain responsible for regulated account, custody, and transmission activities. Customer’s relationship with those partners may be governed by separate agreements.

4. Fees

Unless otherwise agreed in an Order Form or MSA, Gutschow applies a 0.5% infrastructure toll on gross settlement volume at system ingress, plus any pass-through partner fees disclosed in writing. Fees are non-refundable except for documented system error attributable solely to Gutschow. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

5. Credentials, security, and audit

Customer is responsible for safeguarding API keys (gsk_sandbox_… / gsk_live_…), HMAC secrets, admin tokens, and operator identities. Compromised credentials must be rotated immediately and reported to info@gutschow.xyz. Customer authorizes Gutschow to maintain immutable audit trails of API and operator actions for security, reconciliation, and regulatory cooperation.

Each party will protect the other’s non-public business information with reasonable care. Transaction payloads, KYB metadata, and audit logs are processed as described in the Privacy Policy. Customer warrants it has a lawful basis to transmit any personal or corporate data submitted to the Services.

8. Service levels and changes

Gutschow may modify features, endpoints, and documentation with commercially reasonable notice for breaking API changes. Sandbox environments may be rate-limited, wiped, or throttled without SLA. Production availability targets, if any, are stated only in a separate SLA exhibit.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUTSCHOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GUTSCHOW DOES NOT WARRANT UNINTERRUPTED OPERATION, ERROR-FREE LEDGER STATE IN THE PRESENCE OF CUSTOMER OR PARTNER FAULTS, OR ANY PARTICULAR SETTLEMENT OUTCOME.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUTSCHOW’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY CUSTOMER TO GUTSCHOW FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. GUTSCHOW SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

11. Indemnity

Customer will defend and indemnify Gutschow against claims arising from Customer’s misuse of the Services, violation of law, breach of these Terms, or disputes with Customer’s counterparties or end users.

12. Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Exclusive venue lies in the state or federal courts located in Delaware, except that Gutschow may seek injunctive relief in any jurisdiction.
